Cliff represents clients with respect to:

In addition, Cliff has considerable experience representing creditors with respect to bankruptcy matters, both in and out of bankruptcy court.  His knowledge of the unique law, processes and dynamics of bankruptcy has proven invaluable to clients who are creditors of a distressed or bankrupt debtor as well as companies who find themselves contemplating bankruptcy or requiring debt restructuring or workouts. 

Cliff’s clients include multi-national private companies, family-owned businesses, startup and emerging growth companies, entrepreneurs, private equity investors, REITs, and real estate development companies.  A sampling of Cliff’s representations include:

  • Representation of REITs and private real estate holding companies with respect to every facet of numerous real estate acquisitions and divestitures;
  • Representation of sellers in equity sale of major real estate portfolio in Europe;
  • Representation of purchaser in asset sale of a company that manufactures and distributes telecommunication power systems in South Africa;
  • Representation of oil and gas development company with respect to private equity securities offerings;
  • Representation of investors in convertible debt and equity securities offering by a pharmaceutical development company;
  • Representation of borrower in refinancing of $152,735,000 in cross-collateralized securitized Freddie Mac mortgage loans;
  • Representation of borrower in $15,500,000 mortgage loan and interest rate swap facility;
  • Representation of borrower in $23,850,000 mortgage loan for acquisition of retail property;
  • Representation of real estate development entrepreneur with respect to formation and organization of enterprise structure, equity structuring, and employment matters;
  • Representation of law firm with respect to restructuring of litigation related debt obligations;
  • Representation of distributor of plastic wares in out-of-bankruptcy workout and liquidation.
